Halper Sadeh LLC, an investor rights law firm, is investigating several companies for possible violations of federal securities laws and breaches of fiduciary duties to shareholders, PR Newswire reported.

The investigations concern the sales of Synaptics Incorporated to onsemi for $123 per share in cash; Capital Bancorp to Peoples Bancorp with a stock exchange deal; and SoundThinking to Transom Capital Group for $8 per share plus a contingent value right, according to PR Newswire.

Additionally, the firm is looking into the sales of ADT Inc. to Thrive Holdings for $10 per share; Maplebear Inc. (Instacart) to DoorDash with options for cash, stock, or a mix; and MidCap Financial Investment Corporation to Ares Capital Corporation with MidCap shareholders expected to own about 5% of the combined company, PR Newswire said.

Halper Sadeh LLC noted that insiders may receive financial benefits not available to ordinary shareholders and that some transaction terms could limit competing offers. The firm encourages shareholders to contact them to discuss rights and options at no cost, handling matters on a contingent fee basis.

The law firm may seek increased consideration, additional disclosures, or other relief on behalf of shareholders. Halper Sadeh LLC represents investors worldwide who have experienced securities fraud and corporate misconduct, PR Newswire added.
