The Delaware Supreme Court has upheld a ruling requiring Verisk to continue pursuing its $2.35 billion acquisition of AccuLynx, a cloud-based business management platform for roofing contractors, according to insurancebusinessmag.com.

Verisk initially agreed to buy AccuLynx in July 2025, but the deal faced delays due to an in-depth antitrust review by the Federal Trade Commission (FTC). The FTC's second request for information extended the review period, pushing the deal past its deadline.

In December 2025, Verisk terminated the merger agreement, citing the missed deadline. AccuLynx disputed this termination, leading Verisk to seek court confirmation of its validity. However, the Delaware Court of Chancery found that Verisk's actions caused the regulatory delay and ordered the company to continue efforts to complete the deal.

Verisk stated it respects the court's order and will proceed accordingly, noting that the transaction remains subject to customary closing conditions and FTC approval, with no guarantee of completion. The company emphasized its focus on serving the insurance industry and delivering long-term shareholder value.
